THE HEINEKEN HOLIDAY PROMOTION 2020 (“PROMOTION”) IS OPEN ONLY TO LEGAL RESIDENTS OF THE FIFTY (50) UNITED STATES AND THE DISTRICT OF COLUMBIA WHO ARE TWENTY-ONE (21) YEARS OF AGE OR OLDER AS OF DATE OF ENTRY. PROMOTION IS GOVERNED EXCLUSIVELY BY THE LAWS OF THE UNITED STATES.

BY ENTERING, YOU AGREE TO THESE OFFICIAL RULES, WHICH ARE A BINDING CONTRACT, SO READ THEM CAREFULLY BEFORE ENTERING. WITHOUT LIMITATION, THIS CONTRACT INCLUDES CERTAIN RELEASES FROM YOU AND A LIMITATION OF YOUR RIGHTS AND REMEDIES, INCLUDING A WAIVER OF YOUR RIGHT TO A TRIAL BY JURY.

This Promotion consists of two (2) parts: (a) a random chance one in a Billion Number Guess Contest for the chance to win the Grand Prize (“Contest”), and (b) a random chance instant win program (“Instant Win Program”). Collectively, the one in a Billion Number Guess Contest and Instant Win Program are referred to as the “Promotion,” and the one in a Billion Number Guess Contest Period and the Instant Win Period as the “Promotion Period.”

1. ELIGIBILITY:

(1) The Grand Prize one in a Billion Number Guess Contest is open to all legal residents of the fifty (50) United States and the District of Columbia who are 21 years of age and older at time of entry except as set forth below. You are not eligible to participate or win in the one in a Billion Number Guess Contest portion of this Promotion if you reside outside the United States.

· NOTE: CA residents are not required to redeem an entry code to participate in the one in a Billion Number Guess Contest (see below), and entry codes found on Heineken® Lager Beer festive holiday bottles will not be accepted from California residents

(b) The Instant Win Program is open only to legal residents of the fifty (50) United States and the District of Columbia who are 21 years of age and older at time of entry, except residents of New Jersey. You are not eligible to participate or win in the Instant Win portion of this Promotion if you reside in New Jersey or outside the United States. The Instant Win program is void in New Jersey.

· NOTE: residents of CA are not required to redeem an entry code to participate in the Instant Win program, and entry codes found on Heineken® Lager Beer festive holiday bottles will not be accepted from California residents.

Notwithstanding the foregoing, the following individuals and members of their families (parents, grandparents, children, siblings, spouses) and immediate household members (whether related or not) are not eligible for participation: employees, officers, and directors of HEINEKEN USA Inc. (“Sponsor”), and its respective parent, subsidiary, and affiliated companies, their respective printers, and advertising and promotion agencies, alcoholic beverage suppliers, wholesalers, distributors, and importers, and alcoholic beverage retailers. All federal, state, and local regulations apply.

2. START/END DATES:

The Promotion begins at 12:01 a.m. Eastern Time (ET) on 10/1/20 and ends at 11:59 p.m. ET on 1/15/21 (“Sweepstakes Period”).

The last date to receive entry code on a bottle is 1/4/21, or when Heineken® Lager Beer festive holiday bottles are sold out, whichever comes sooner. All mail-in entry code requests must be postmarked by 1/4/21 and received by 1/9/21. All entry codes must be redeemed by 11:59 p.m. ET 1/15/21, and all California entries must be received by 11:59 p.m. ET 1/15/21, in order to submit one in a Billion number guess contest attempt and participate in the Instant Win program. All entries must be submitted and received by 11:59 p.m. ET on 1/15/21 (see below).

3. HOW TO ENTER AND PARTICIPATE:

There are two (2) ways to participate: (a) via SMS or (b) on the Internet.

(a) SMS Entry: Submit an SMS entry from your mobile device (“Mobile Device”) by texting “HOLIDAY” to 77000. Upon receiving a return text message, click on the link provided to connect to www.Heineken.com/US/Holiday and follow the onscreen instructions to enter and participate in the one in a Billion number guess and Instant Win Promotion (see below). Carrier’s standard messaging and data rates apply. All SMS entries must be submitted by 11:59 p.m. ET on 1/15/21.

(b) Internet Entry: To submit an Internet entry (without sending a text), scan the QR code on the applicable point of sale signage or visit www.Heineken.com/US/Holiday and follow the onscreen instructions to enter and participate in the one in a Billion number guess and Instant Win Promotion (see below). Normal time rates, if any, charged by Internet service provider will apply. All Internet entries must be submitted by 11:59 p.m. ET on 1/15/21.

There is a limit of one (1) registration per person during the entire Promotion Period, regardless of method of entry. Returning visitors can login with their previously registered email address to redeem additional codes (excluding residents of CA who are not required to redeem an entry code), for additional entries in the one in a Bill number guess and Instant Win Promotion, up to the limitations as noted below.

Upon visiting the Promotion website at www.Heineken.com/US/Holiday, you will be required to submit a unique entry code, and follow the on screen entry instructions to complete the online registration process in order to participate in the one in a Billion number guess portion of the Promotion, and the Instant Win Program.

For each eligible and unique entry code redeemed, entrants shall have one (1) opportunity to participate in the one in a Billion Number Guess portion of the Promotion, and the Instant Win Program as follows:

· Following redemption of an eligible and unique entry code, each entrant will have one (1) opportunity to submit a random number guess of the randomly predetermined Grand Prize winning one in a Billion winning number. The winning number shall fall between the range of 0,000,000,001 – 1,000,000,000, inclusive.

· In order to be a Grand Prize winning one in a Billion number guess, an eligible entrant’s submitted and received number guess must exactly match the actual randomly predetermined Grand Prize winning number in exact order (e.g. if the winning number is 123,456,789, then a submitted number guess of 987,654,321 would NOT constitute a winning number guess).

Each eligible entrant can receive one (1) automatic entry code by visiting the Promotion website. There is a maximum of one (1) automatic entry code per person during the entire Promotion Period (excluding residents of CA who are not required to redeem or enter an entry code in order to participate).

Participants may acquire additional entries by following one of the following steps:

· Eligible entrants (excluding entrants from California) may redeem valid and unique entry codes in their possession found on the bottle labels of specially marked Heineken® Lager Beer festive holiday bottles (while supplies last), that they have not previously redeemed in the Promotion.

o NOTE: CA residents are not required to redeem an entry code to participate in the one in a Billion Number Guess Contest, and entry codes found on Heineken® Lager Beer festive holiday bottles will not be accepted from California residents

· To obtain free entry codes by mail, send a written request to Heineken Holiday Promotion 2020 – Free Code Request, P. O. Box 248, Woodbridge, NJ 07095. Include your name, valid email address, telephone number (including area code), State of residence, and date of birth as part of your request. Mailed requests for codes must be postmarked by 1/4/21 and received by 1/9/21. Mail-in entry code requests shall receive a total of (6) entry codes per eligible mail-in request. There is a maximum of one (1) mail-in request per person, per day, and a maximum of twelve (12) total mail-in requests per person. Duplicate mail-in requests received on the same day or any mail-in request in excess of twelve (12) received from any individual shall be void, disqualified and not fulfilled. Each mail-in request must be mailed in a separate outer envelope. Codes will be sent back via email and MUST be entered at www.Heineken.com/US/Holiday by not later than 11:59 p.m. ET on 1/15/21. Sponsor not responsible for failure of delivery or receipt of any entry codes by email for any reason, including blocked emails or failure by entrant to check their junk, spam or quarantine filter or email boxes.

· CA residents are not required to submit an entry code in order to participate, and entry codes found on Heineken® Lager Beer festive holiday bottles will not be accepted from California residents.

After redeeming an entry code, entrants may redeem additional entry codes in their possession that have not previously been redeemed in the Promotion, up to a maximum total of six (6) entry codes per person, per day. There is a maximum of seventy-two (72) total entry code redemptions per person during the entire Promotion Period, regardless of the number of entry codes in their possession.

· CA residents may submit a maximum of (6) entries per day, and a maximum of seventy-two (72) total entries during the entire Promotion Period.

Entrants will be automatically entered into the Instant Win promotion by submitting a one in a Billion number guess (excluding residents of New Jersey). After submitting a one in a Billion number guess, each entrant shall receive confirmation if they have been determined as an Instant Win Heineken merchandise prize winner (see below).

Any one in a Billion number guess not correctly submitted by an entrant in the manner as required by the Promotion website and these official rules, any guess not actually received by Sponsor for any reason including but not limited to internet, technical or programming issues, or any guess not received by the submission deadline of 11:59 p.m. ET on 1/15/21 shall be disqualified and not eligible for inclusion or participation in this Promotion.

Note: In the event the randomly predetermined Grand Prize winning one in a Billion winning number is NOT correctly guessed and received by Sponsor from an eligible entrant during the Promotion Period, per the requirements of these Official Rules, then the Grand Prize shall NOT be awarded. In the event there is no Grand Prize winning one in a Billion number guess submitted, then the entrant who guessed closest to the actual grand prize winning number shall be determined and awarded the Bonus Prize (see below). The Bonus Prize winner shall be determined as the closest number guess to the actual winning number, regardless if the guess is higher or lower than the winning number. In the event of a tie between any eligible entrants for the closest guess, then the Sponsor appointed Administrator shall conduct a random drawing from among the tied contestants to determine the Bonus Prize winner.

Each entry code may be redeemed a maximum of one time during the entire Promotion Period and may not be reused.

Regardless of method used to acquire entry codes, all entry codes must be entered, and California residents must submit all entries (without an entry code redemption), at www.Heineken.com/US/Holiday by 11:59 PM ET on 1/15/21 in order to be eligible for a chance to submit a one in a Billion number guess or win a prize and receive an Instant Win entry.

By redeeming a code and submitting an entry, entrants fully and unconditionally agree to be bound by these Official Rules and the decisions of HEINEKEN USA Inc. (“Sponsor”) and its appointed agents, which will be final and binding in all matters relating to the Promotion. Any entry submitted on behalf of another individual or using another individual’s information, providing any incorrect, inaccurate, fake or false information during registration, or attempting to submit more than the allowable number of entries by using alternate names, emails, addresses, or other method shall result in all such entries being disqualified.

Please note that there is a limit of one (1) prize per individual, household, street address, and/or email address during any six (6) month period across all HEINEKEN USA Inc. promotions, regardless of brand (Heineken, Amstel, Dos Equis, Dos-A-Rita, Murphy’s, Newcastle, Red Stripe, Strongbow, Tecate, and Tiger), except that in the case of this Promotion instant win prize winners are still eligible for a chance to win the Grand Prize or Bonus Prize (see below).

4. PRIZES:

All Promotion prize details are at Sponsor’s sole discretion. Any prize depiction is for illustrative purposes only and shall not be relied upon. No part of any prize includes any alcoholic beverages. Prizes are not transferable or redeemable for cash. No substitutions of prizes by winners are allowed, but Sponsor reserves the right to substitute a prize of equal or greater value at its sole discretion.

(a) Instant Win Heineken Merchandise Prizes (15): Fifteen (15) Instant Win prizes will be randomly awarded during the Promotion Period. Each Instant Win prize consists of Heineken branded merchandise consisting of the Heineken branded merchandise items as solely determined and designated by Sponsor (one (1) Heineken t-shirt, one (1) Heineken hat, and one (1) Heineken bottle opener, or other merchandise items as determined in the sole discretion of Sponsor, based upon inventory availability). ARV of each instant win prize: $50. ARV of all instant win prizes: $750.

(b) Grand Prize (maximum of 1): A maximum of one (1) grand prize will be awarded ONLY if an eligible entrant has correctly submitted a guess of the randomly predetermined grand prize winning on in a Billion number that falls between 0,000,000,001 – 1,000,000,000 in its exact numeric order (e.g. if the winning number is 123,456,789, then a submitted number guess of 987,654,321 would NOT constitute a winning number guess), per the requirements of these Official Rules. In the event of an exact guess of the randomly predetermined grand prize winning number, that entrant will then be eligible to claim the grand prize subject to verification of compliance with these official rules, and subject to the terms below in the event of more than one winning submission.

The grand prize consists of a $1,000,000 forty (40) year annuity, awarded in the form of $25,000 cash per year for forty (40) years without interest. The initial $25,000 payment will be awarded within approximately thirty (30) days of receipt of all required paperwork. Each subsequent payment thereafter shall occur on or about the anniversary date of the first payment for the next thirty-nine (39) years. No current cash value of the annuity prize award will be available.

NOTE: In the event there is NOT an eligible entrant who correctly submitted a guess of the randomly predetermined grand prize winning number that falls between 0,000,000,001 – 1,000,000,000 in its exact numeric order, per the requirements of these Official Rules, then the Grand Prize will NOT be awarded.

In the event of multiple grand prize winning number guesses by eligible entrants per the requirements of these Official Rules, then the cash value of the grand prize will be evenly distributed among all eligible winning participants (i.e. if there are two eligible participants with a grand prize winning number guess, each participant shall be awarded $12,500 cash per year for forty (40) years). If no eligible participant successfully meets the grand prize winning requirements, then the grand prize will NOT be awarded.

(c) Bonus Prize (1): In the event the Grand Prize is NOT awarded, then one (1) Bonus Prize will be awarded. The bonus prize consists of: one (1) $2,500 gift card from the Sponsor designated gift card provider. Gift card subject to the terms and conditions of gift card provider policy.

Maximum ARV of all available prizes: $503,250, based in part upon the approximate current cash value of a $1,000,000 40-year annuity. A maximum of one (1) grand prize OR one (1) bonus prize shall be awarded, but not both.

All expenses and travel costs incurred as a result of seeking, winning, and/or making use of a prize are the sole responsibility of winner. Any expense or cost not expressly stated in the description of the prizes set forth above is the sole responsibility of winner.

All federal, state, and local taxes, fees, and surcharges on any prize are solely the responsibility of winner of the prize. Winners of prizes with a value of $600 or more will be issued an IRS Form 1099-MISC early in the year following the year in which prize was awarded for filing with his/her federal and state tax returns. Sponsor complies with all tax reporting requirements. The amount of any tax liability will vary depending on winner’s tax bracket.

5. ODDS OF WINNING:

(a) Instant Win

Odds of winning an Instant Win prize depend on the number of Instant Win prizes available divided by the number of attempts. Limit one (1) Instant Win prize per person or household.

(b) Grand Prize

Odds of winning the Grand Prize are 1 in 1,000,000,000, based upon correctly guessing the randomly predetermined grand prize winning one in a Billion winning number.

(c) Bonus Prize

Odds of winning the Bonus Prize, in the event the Grand Prize is NOT awarded, are based upon the total number of eligible entries received.

6. WINNER SELECTION/DETERMINATION, NOTIFICATION, AND VERIFICATION:

(a) Instant Win Heineken merchandise

Potential Instant Win prize winners of Heineken merchandise will be randomly determined. If you are a potential Instant Win prize winner, you will receive an on-screen message stating that you have won an Instant Win prize along with a unique prize claim code. (If you have not received the winning on-screen confirmation message, along with a unique prize claim code, then you are not an instant winner.) Instant winners will then be sent a prize claim form via email with instructions on how to claim the prize. Allow 1 – 2 weeks for processing and delivery of prize claim form via email. Please note that you are not officially an instant prize winner until your eligibility has been verified and you have fully complied with these Official Rules. Limit one (1) Instant Win prize per person or household.

(b) Grand Prize (one in a Billion number guess)

The Potential grand prize winner, if any, will be determined on or about 1/16/21 by downloading all eligible one in a Billion number guess entries received by Sponsor prior to the end of the Promotion Period (by 11:59 p.m. ET on 1/15/21). All eligible entries shall then be compared to the randomly predetermined grand prize winning number contained in the sealed security envelope to determine if any entrant has submitted a number guess that EXACTLY matches the grand prize winning number in exact order.

In the event there is not a grand prize winning number guess submitted by an eligible entrant as required by these Official Rules, then the Grand Prize shall NOT be awarded.

In the event of a winning number guess entry being received from one or more eligible entrants, then any potential winner(s) will be contacted by telephone and/or email. If any potential winner cannot be reached within five (5) days of first notification attempt, if any prize or prize notification is returned as undeliverable, if the potential winner rejects his/her prize, or in the event of noncompliance with these Official Rules, such prize will be forfeited and no alternate prize winner shall be determined and Grand Prize shall NOT be awarded. Upon forfeiture of any prize, no compensation will be given.

(c) Bonus Prize (closest guess)

In the event there is NOT a Grand Prize winner, then the entrant who submitted the closest number guess to the randomly predetermined grand prize winning one in a Billion winning number shall be awarded the Bonus Prize. In the event of a tie, the tie-breaking procedures as outlined above shall apply.

The potential Bonus Prize winner will be contacted by telephone and/or email. If the potential winner cannot be reached within five (5) days of first notification attempt, if any prize or prize notification is returned as undeliverable, if the potential winner rejects his/her prize, or in the event of noncompliance with these Official Rules, such prize will be forfeited and an alternate winner will be selected based upon the entrant with the next closest guess. Upon forfeiture of any prize, no compensation will be given.

All potential winners will be required to sign and return, where legal, a Declaration of Eligibility, Liability/Publicity Release and W-9 Form (if prize value exceeds $600) within five (5) days of receipt. No potential winner will be an official winner until any required documentation has been returned and eligibility has been formally verified by Sponsor. If any potential winner fails to comply with these Official Rules and/or to submit the required documentation within the designated time period, he/she will be automatically disqualified and the prize may be awarded to an alternate winner, where applicable. (Any Grand Prize award shall be forfeit and shall not be re-awarded.)

7. LICENSE AND RELEASE:

Participation in the Promotion and acceptance of prize constitute winner’s and guest’s (where applicable) permission for Sponsor or its agents to photograph, film, and record each winner and guest and to use his/her name, address (city and state), likeness, photograph, voice, biographical information, and/or any statements made by each winner and guest regarding the Promotion or Sponsor for purposes of trade, publicity, or promotion without notice or additional compensation, except where prohibited by law. By participating and/or accepting a prize, entrants, winners, and guests acknowledge and agree to release and hold harmless Sponsor, Sponsor’s advertising and promotional agencies, and their respective parent companies, subsidiaries, affiliates, partners, representatives, agents, successors, assigns, employees, officers, and directors (“Released Parties”) from any and all liability for loss, harm, damage, injury, cost, or expense whatsoever, including, without limitation, property damage, personal injury, and/or death that may occur in connection with, preparation for, travel to, or participation in the Promotion, or participation in, possession, acceptance, and/or use or misuse of any prize or participation in any Promotion-related activity, including, but not limited to, any claims based on publicity rights, defamation or invasion of privacy, and merchandise delivery. Sponsor shall not be responsible for any cancellations, delays, diversions, substitutions, or omissions whatsoever by any other persons providing any services to winner, including any results thereof, such as changes in services or location necessitated by same. Sponsor is not responsible if any part of a Promotion prize cannot be awarded due to acts of God, acts of war, natural disasters, weather, or acts of terrorism. Sponsor shall not be liable for any loss or damage to personal belongings. Entrants who do not comply with these Official Rules or who attempt to interfere with this Promotion in any way shall be disqualified. There is no purchase required to participate in the Promotion or to win any prize in the Promotion. A purchase does not increase odds of winning.

8. ADDITIONAL TERMS:

Sponsor reserves the right to alter, suspend, or terminate the Promotion at any time and with or without notice if, in Sponsor’s sole discretion, the integrity of the Promotion becomes or is likely to become compromised in any way. In the event the Promotion is terminated prematurely, all eligible entries received prior to the Promotion termination or suspension date will be included in the next prize drawing. No automated devices, bots, and/or other programs and/or software are permitted. All entries become the sole and exclusive property of Sponsor and will not be acknowledged or returned. Delivery of a prize will require a street address located within the fifty (50) United States and the District of Columbia. Sponsor is not responsible for late, incomplete, invalid, unintelligible, misdirected, technically corrupted, or garbled entries, which will be disqualified, or for problems of any kind, whether mechanical, human, or electronic. Only fully completed entries are eligible. Proof of submission will not be deemed to be proof of receipt by Sponsor.

In case of a dispute as to the identity of any entrant, an entry will be deemed made by the authorized account holder of the email address submitted at the time of entry. The “authorized account holder” is deemed the natural person who is assigned to an email address by an Internet access provider, service provider, or other online organization that is responsible for assigning e-mail addresses for the domain associated with the submitted email address. A potential winner may be requested to provide Sponsor with proof that the potential winner is the authorized account holder of the e-mail address associated with the winning entry.

If for any reason the Promotion is not capable of running as planned, including due to infection by computer virus, bugs, tampering, unauthorized intervention, automated entries, fraud, technical failure, human error, or any other cause beyond the control of Sponsor that corrupts or affects the administration, security, fairness, integrity, or proper conduct of the Promotion, Sponsor reserves the right, in its sole discretion, to disqualify any individual who tampers with the entry process and to cancel, terminate, modify, or suspend the Promotion. Sponsor assumes no responsibility for any error, omission, interruption, telephone or other communications malfunctions, deletion, defect, delay in operation or transmission, communications line failure, or theft or destruction of, unauthorized access to, or alteration of entries. Sponsor is not responsible for any problems or technical malfunctions of any telephone networks or lines, computer online systems, servers, or providers, computer equipment, software, failure of any e-mail or entry to be received by Sponsor on account of technical problems or traffic congestion on the Internet or at any website, any combination thereof, or otherwise, including any injury or damage to entrant’s or any other person’s computer related to, or resulting from, participation or downloading of any materials in the Promotion.

Sponsor and its agents are not responsible for printing, distribution, or production errors and may, in their sole discretion, rescind, cancel, suspend, modify, or revoke this Promotion based upon any such error without liability. If by reason of a printing, computer, or other error more prizes are awarded in a prize category than the number set forth in these Official Rules, all persons purportedly making valid claims will be included in a random drawing to award the advertised number of prizes available. In no case will more than the advertised number of prizes be awarded. Antifraud detection devices may be used for verification purposes. In the event there is a discrepancy or inconsistency between disclosures or other statements contained in any Promotion materials and the terms and conditions of the Official Rules, the Official Rules shall prevail, govern and control.

Sponsor’s failure to enforce any term of these Official Rules shall not constitute a waiver of that provision. Headings are solely for convenience and will not be deemed to affect in any manner the meaning or intent of the documents or any provision hereof.

Caution: Any attempt by an entrant to deliberately damage any website or undermine the legitimate operation of the Promotion may be a violation of criminal and civil laws, and should such an attempt be made, Sponsor reserves the right to seek damages from any such person to the fullest extent permitted by law.

IN NO EVENT WILL THE RELEASED PARTIES BE RESPONSIBLE OR LIABLE FOR ANY DAMAGES OR LOSSES OF ANY KIND, INCLUDING DIRECT, INDIRECT, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF ENTRANT’S ACCESS TO, AND USE OF, THE WEBSITES AND/OR THIS PROMOTION, OR ENTRANT’S DOWNLOADING FROM AND/OR PRINTING MATERIAL DOWNLOADED FROM ANY WEBSITES ASSOCIATED WITH THE PROMOTION.

9. DISPUTES AND GOVERNING LAW:

The parties waive all rights to trial in any action or proceeding instituted in connection with these Official Rules, including, without limitation, the Promotion. Any controversy or claim arising out of, or relating to, these Official Rules and/or the Promotion shall be settled by binding arbitration in accordance with the commercial arbitration rules of the American Arbitration Association. Any such controversy or claim shall be arbitrated on an individual basis and shall not be consolidated in any arbitration with any claim or controversy of any other party. The arbitration shall be conducted in New York City, New York.

THESE OFFICIAL RULES AND THE INTERPRETATION OF ITS TERMS SHALL BE GOVERNED BY, AND CONSTRUED IN ACCORDANCE WITH, THE LAWS OF THE STATE OF NEW YORK WITHOUT REGARD TO ITS CONFLICTS OF LAWS AND RULES. For any matters that are not subject to arbitration as set forth in these Official Rules and/or in connection with the entering of any judgment on an arbitration award in connection with these Official Rules and/or the Promotion, the parties irrevocably submit and consent to the exclusive jurisdiction and venue of the state and federal courts located in or closest to New York City, New York. The parties agree not to raise the defense of forum non conveniens.

10. USE OF DATA:

Sponsor will be collecting personal data about entrants online, in accordance with its Privacy & Cookie Policy. Please review Sponsor’s Privacy & Cookie Policy at http://heinekenusa.com/privacy-cookie-policy/.
