Giveaway Name: Spirit Airlines Holiday Giveaway (the “Giveaway”).

Giveaway Dates: Registration begins at 6:00:00 PM Eastern Time on December 16, 2025, and ends upon the earlier of one hundred (100) eligible entries have been received and 6:59:59 PM Eastern Time the same day (the “Registration Period”). A Spirit Airlines flight Voucher (see description below) will be awarded to the first one hundred (100) eligible entrants. The Giveaway is subject to all applicable federal, state, and local laws and regulations.

Eligibility – Who May Enter: Each individual entering the Giveaway (each, an “entrant”), at the time of entry: (a) must be a legal resident of the contiguous forty-eight (48) United States and District of Columbia (“D.C.”) (i.e., excluding Alaska and Hawaii); (b) must be eighteen (18) years of age or older; (c) must have a valid U.S. driver’s license or government issued photo identification; (d) must reside within one hundred (100) miles of an airport from which Spirit Airlines, LLC (“Spirit”) operates regularly scheduled departing flights; (e) must have a mobile device with camera capable of scanning a QR code and access to the internet in order to enter; (f) must enter using a QR code that has not been used by any other entrant; (g) may not be, or at any time since December 1, 2025, have been, an employee, officer, director, member, shareholder, or agent of Million Dollar Media (the “Giveaway Administrator”), Spirit Airlines, LLC (the “Sponsor”), or any of their respective franchisees, parents, subsidiaries, affiliated companies, suppliers, printers, advertising and promotion agencies, or any and all other companies associated with the design or execution of this Giveaway (collectively, “Released Parties”); and, (h) may not be an immediate family member or household member of any individual identified in item (g) above. “Immediate family members” includes, for purposes of this Giveaway, parents (including in-laws), step-parents, grandparents, siblings (including step-siblings), half-siblings, children (including step-children), grandchildren (including step-grandchildren), and each of their respective spouses and/or domestic partners, regardless of where they reside. “Household members” means people who share the same residence at least three (3) months per year.

How to Enter – Online Registration: During the Registration Period, QR codes will be shown on a billboard visible in Times Square, New York. Each such QR code may be used by one (1) person to enter this Giveaway. One hundred (100) QR codes will be shown. The first entrant to scan each unique QR code shall be deemed a potential Giveaway winner, subject to eligibility. The Giveaway is open only to the first eligible entrant per unique QR code, for a maximum total of one hundred (100) potential eligible entrants. In the event any entrant is determined to be ineligible, Sponsor shall not award the Voucher associated with the QR code that entrant used to enter the Giveaway. Any unclaimed prizes, including those associated with any of the QR code(s) that for which no entry is submitted, shall not be awarded. Eligible entrants must fully complete the online registration page with all required information including their name, valid email address, phone number (including area code), full address of residence, and date of birth. After having read and agreed to these Official Rules and agreeing to receive offers and updates via email from Sponsor, the entrant must click the submit button to submit their online entry. If an entrant submits their entry using a mobile device on a wireless service provider’s network (as opposed to a Wi-Fi network), the entrant’s carrier’s data rates will apply. Entrants should consult their wireless service provider’s pricing plan for details. Each entrant agrees to incur any and all charges demanded by their wireless carrier. All online entries must be among the first one hundred (100) eligible entries received and fully complete for all required information.

A maximum of one entry per person, per valid email address, and per household during the entire Registration Period. A maximum of one (1) prize will be awarded per person or household. A maximum of six (6) prizes will be awarded to residents of Florida, and any otherwise eligible entrant in excess of that will be deemed ineligible. Any incomplete or ineligible entries, or any entry submitted with an invalid or false email address, phone number, or other incorrect information, will be disqualified. Released Parties are not responsible for lost, late, misdirected, illegible, incomplete, invalid, unintelligible, damaged, or for entries submitted in a manner that is not expressly allowed under these rules, or for any entry not submitted or received due to any technical error or failure, unauthorized human intervention, inaccurate capture or mis-entry of any required information, or the failure to capture any such information for any reason including programming or technical errors, or effects of hackers or failure of any electronic equipment, computer or cellular transmissions and/or network connections; all of which will be disqualified.

Entrants may opt out of email notifications at any time, without affecting their entry, by following the provided opt-out instructions. By participating and submitting an entry, entrant agrees that Sponsor and participating parties are authorized to contact entrant via email, mail, phone, or any other form of media to make entrant aware of information pertinent to the Giveaway, and to distribute information regarding Sponsor(s) featured products, special events, or promotional offers, or coupons. Entrants may opt out of any further email communication at any time by simply replying REMOVE to any email message or following the provided opt-out instructions.

Each entrant must submit an entry on their own behalf. Any entry submitted on behalf of another individual or using another person’s email address or name, or providing any false email addresses or information, will be disqualified and ineligible to claim any prize. Any attempt by any entrant to obtain more than the stated number of entries allowed by using the same, multiple/different emails, identities, or any other methods voids that entrant's entries and that entrant may be disqualified. No mechanically reproduced or automated entries permitted. Use of any automated system to participate is prohibited and will result in disqualification, and all such entries will be deemed void.

In the event of a dispute as to any entry, registration, or submission, the authorized account holder of the email address used to register, and associated with the entry, will be deemed to be the registrant, and they must be eligible according to these Official Rules. The “authorized account holder” is the natural person assigned an email address by an Internet access provider, online service provider, or other organization responsible for assigning email addresses for the domain associated with the submitted address. Proof of being the authorized account holder may be required.

By registering to enter this Giveaway, you affirm that you have read and accepted these Official Rules. All entries received become the property of Sponsor and will not be returned. All entrants agree to be bound by and abide by the official rules of the Giveaway.

Winner Determination and Notification (100 winners):

Up to the first one hundred (100) eligible entries received, as solely determined and designated by Sponsor, shall be designated as potential prize winners.

Each potential winner will be notified initially by phone and/or email following their determination as a potential winner. If Administrator is unsuccessful in its attempt to reach a potential prize winner within forty-eight (48) hours of the initial notification attempt to the phone number and/or email address associated with that entrant’s entry, then that entrant may be disqualified. Note: phone messages will not be left during the winner notification process. Available prize awards must be claimed by January 31,2026.

During winner notification, each selected potential winner must confirm their eligibility, and indicate their willingness and ability to accept the prize. The potential winner will then receive official notification via email delivery. If the selected winner does not meet the eligibility requirements, or is unable or unwilling to accept the prize or elects to decline the prize, they will be disqualified. Any disqualified entrant will not receive any alternate prize substitution, or compensation. Decisions of Administrator in the selection and determination of the winners and all matters relating to this Giveaway are final and binding.

All of the following will apply to each winner: (1) The winner will be required to complete and return, within three (3) days of the date of receipt, a prize acceptance form, including an affidavit of eligibility and a liability/publicity release (publicity release where permitted). (2) The Winner may be required to present a copy of a valid Social Security card and a valid driver’s license as a condition of receiving any prize. (3) The Winner is responsible for paying all applicable taxes (including, but not limited to, local, state, and federal taxes) on all prizes awarded.

Prize Award: Each eligible entrant designated as a prize winner shall be awarded one (1) Voucher which may be exchanged for a ticket for travel on a flight operated by Spirit, which may be a connecting flight, to and from airports between which Spirit offers regularly scheduled air service and for which the base fare at the time the Voucher is exchanged for the ticket is not more than $800. The flight ticket will include one (1) carry-on item (priority boarding), one (1) checked bag, and one (1) personal item. Each prize award has an approximate retail value (“ARV”) of $800.

Each prize winner must accept delivery of their prize in the method as solely determined and designated by Sponsor via email or digital/mobile delivery. In the event of any mobile or digital delivery, the winner is solely responsible for any required software application required to download, accept, transfer, access, or redeem the mobile or digital Voucher delivery. The Prize shall be emailed, delivered, or shipped to the designated winner via email, mobile number, or residential address as provided at the time of entry and/or winner notification via the method determined by Sponsor. In the event of shipment delivery, the carrier will be as determined by Sponsor. Once shipped, emailed, or delivered digitally, the prize shall be considered awarded, delivered, and fulfilled, and Sponsor shall not be responsible for any prize shipment that is lost, late, delayed, undelivered, misdirected, misdelivered, damaged, or stolen, or any incorrect shipping address provided by the winner. In the event of any delivery issues, the prize award shall not be replaced or substituted with any alternate prize award or compensation. Winner shall look solely to the designated shipper/carrier and not to Sponsor for any delivery issues.

Each prize winner will be responsible for securing any transportation to/from the applicable airport, transportation at the destination, and any costs not covered by the prize, and for booking their flights using the provided voucher.

Voucher must be used, and all travel must be completed within one (1) year of the prize award date, or the prize will be forfeited. Restrictions apply on peak travel dates and holidays and are based on availability at the time of booking. Travel dates are subject to Sponsor’s approval. The trip must be booked at least thirty (30) days prior to the initial date of travel. Please allow 8 – 12 weeks for prize delivery.

Any unused portion of a Voucher’s value will be forfeited and shall not be subject to further or alternative compensation. The value of each prize may vary depending on the points of departure and airline fare fluctuations. Any difference between the stated ARV and the final value of the prize will not be awarded. Each prize consists only of the elements expressly set forth above; no other elements or expenses (including, without limitation, hotel accommodations, insurance, meals, ground transportation, phone calls, baggage, gratuities, incidentals, souvenirs, gasoline, etc.) are included. All such expenses are the sole responsibility of each prize winner. Each prize winner is responsible for any air travel taxes and expenses, including applicable departure taxes or fees, inspection charges, baggage fees, and security charges. Each prize winner is responsible for obtaining, at their own expense, any necessary travel documentation (i.e., valid photo identification, visas, passports, etc.) prior to travel. Once issued, tickets are non-transferable. Vouchers may not be redeemed for open tickets or travel with stopovers. No frequent flier miles will be awarded in connection with the use of the tickets obtained with the vouchers awarded hereunder.

Each prize winner should be aware of and comply with government guidelines regarding travel restrictions and mandatory quarantines before traveling. Please note that any public location where people are present provides an inherent risk of exposure to COVID-19, and Sponsor cannot guarantee that any person will not be exposed during travel.

No prize winner may assign or transfer any part of their prize to another person. No refund or compensation will be given in the event of the cancellation or delay of any flight.

All transportation by air and services provided in conjunction therewith will be subject to the applicable carrier’s contract of carriage and will not be governed by these Official Rules.

The value of each prize is taxable as income. Each prize winner is solely responsible for any taxes, including, but not limited to, all applicable federal, state, and local taxes that become due for the value of their prize. Sponsor, or a third party acting on its behalf, may be required to report the value of the prize to the IRS for the year in which the prize winner receives the prize; and, in such case, the value of the prize will be reported to the prize winner and the IRS using IRS Form 1099 or other applicable tax forms.

General Prize Conditions: All other costs and expenses related to prize acceptance, delivery, redemption, or use not specified herein as being provided are the sole responsibility of the winner. All income, federal, state, and local taxes are the winner’s sole responsibility. All prize awards are non-transferable, and no cash redemption or prize substitution is allowed, except at Sponsor’s sole discretion or as provided herein. Sponsor reserves the right to substitute a prize with one of comparable or greater value, at its sole discretion. All prizes are awarded as is, without any warranty, express or implied, by Sponsor. Failure to collect or properly claim a prize in accordance with these rules will result in forfeiture of the prize. If forfeited for any reason, participant will not receive any other prize, substitution, or compensation, and the prize will remain the property of Sponsor and will not be awarded, except as provided herein. All properly claimed prizes will be awarded. Any unclaimed prizes will not be awarded. TOTAL ARV OF ALL AVAILABLE PRIZE AWARDS: $80,000.

Additional Rules & Restrictions: By participating, entrants agree to abide by and be bound by the Official Rules and the decisions of Sponsor and Administrator, which shall be final in all matters relating to this Giveaway. In the event an entrant wins a prize and is later found to be in violation of these rules, they will be required to forfeit the prize or to reimburse Sponsor for the stated value of the prize if such violation is discovered after the winner has used the prize. Participation in the Giveaway constitutes permission for Sponsor and its designees to use entrants’ names, cities, and states of residence and/or likenesses for purposes of advertising and trade in any and all media now or hereafter known worldwide in perpetuity without limitation or further compensation, notification, or permission, unless prohibited by law. False, fraudulent, or deceptive entries or acts shall render entrants ineligible for any prize.

By participating, entrants agree to hold all Released Parties harmless from any claims, losses, actions, or damages of any kind, whether actual, incidental or consequential, for injury (including but not limited to death), damages, losses or expenses arising out of or relating to entrant’s participation in this Giveaway, or the acceptance, possession or use/misuse of any prize, or participation in prize-related activities (including but not limited to travel or activity related thereto), and to assume all liability therefor.

Released Parties shall not be liable to winner or any other person for failure to supply the prize or any part thereof by reason of any acts of God, pandemics, any actions, regulations, orders, or requests by any governmental entity, equipment failure, terrorist acts, war, fire, unusually severe weather, embargo, labor dispute or strike, labor or material shortage, transportation interruption of any kind, or any other cause beyond Released Parties’ sole control.

Entrants are restricted to use of ordinary and typical computer equipment, mobile phone equipment, Internet access, and cellular networks. Sponsor disclaims all liability for the inability of a participant to complete or continue an entry due to equipment malfunction, busy lines, inadvertent disconnections, acts beyond Sponsor’s control, or otherwise. Sponsor disclaims any liability for entries not received due to technical difficulties or transmission errors. Sponsor disclaims all liability for any delays, mis-delivery, loss, or failure in the delivery of any item sent by mail, courier, express, electronic transmission, or other delivery method. Released Parties are not responsible for mechanical, technical, electronic, communications, telephone, computer, hardware or software errors, malfunctions or failures of any kind, including: failed, incomplete, garbled or delayed transmission of online entries, traffic congestion on telephone lines, the Internet or at any website or lost or unavailable network connections which may limit an online entrant's ability to participate in the Giveaway, and any injury or damage to entrant’s or any other person’s computer or mobile phone related to or resulting from participating in or downloading any information necessary to participate in the Giveaway. Released Parties are not responsible for any other errors of any kind, whether computer, technical, typographical, printing, human or otherwise, relating to or in connection with the Giveaway, including, without limitations, errors which may occur in connection with the printing or advertising of this Giveaway, administration or execution of the Giveaway, the cancellation of the Giveaway, the processing of entries or in the announcement of the prizes or prize winners. Sponsor, in its sole discretion, reserves the right to disqualify any person tampering with the entry process or the operation of the Giveaway website.

Sponsor reserves the right to cancel, modify, reschedule or terminate the Giveaway for any reason including, but not limited to acts of God, pandemics, force majeure, government regulatory action or ruling, fraud, misconduct, or if any technical failures destroy or threaten the integrity of the Giveaway, in the opinion of Sponsor/Administrator, or if a computer virus, bug, or other technical problem corrupts the administration, security, or proper conduct of the Giveaway as determined by Sponsor/Administrator, in their sole discretion. In the event of early termination of the Giveaway, Sponsor reserves the right to determine prize winners in a random drawing from among all eligible, non-suspect entries received as of the time/date of such termination.

IN CASE OF DISPUTES: By participating, each entrant agrees that (1) any and all disputes, claims, and causes of action arising out of or in connection with this Giveaway, or any prizes awarded, shall be resolved individually, without resort to any form of class action, and any judicial proceeding shall take place in a federal or state court within the State of New Jersey; (2) any and all claims, judgments, and awards shall be limited to actual out-of-pocket costs incurred, including costs associated with entering this Giveaway, and in no event will entrant be entitled to received attorneys' fees or other legal costs; and (3) under no circumstances will entrant be permitted to obtain awards for, and entrant hereby waives all rights to claim, punitive, incidental, and consequential damages, and any other damages, other than for actual out-of-pocket expenses, and any and all rights to have damages multiplied or otherwise increased. All issues and questions concerning the construction, validity, interpretation and enforceability of these Official Rules, or the rights and obligations of entrant and Sponsor in connection with this Giveaway, shall be governed by, and construed in accordance with the laws of the State of New Jersey, without giving effect to any choice of law or conflict of law rules or provisions (whether of the State of New Jersey or any other jurisdiction), that would cause the application of the laws of any jurisdiction other than the State of New Jersey.
